These Terms of Use, along with our Privacy Policy and Affiliate Terms, collectively form the agreement (“Agreement” or “Terms”) between you (“User”) and USADrop regarding your use of our Website and Services. Please read these Terms carefully before using the Platform. If you disagree with any part of these Terms, please refrain from using our Website and Services.

USADrop is an all-in-one dropshipping platform designed to automate your dropshipping business. By accessing or using the Website, you confirm that you have read and consent to these terms and conditions. The Terms may change over time, so it’s essential to review them periodically. Please read these Terms and our Privacy Policy carefully before using the Website. If you disagree with any part of the Terms, please refrain from using our services.

By accessing or using the Website, you confirm that you are legally eligible to enter into these Terms and are at least 18 years old. If you do not meet these requirements, you are not permitted to use the Website or its services.

2. Access Permission; Shop Accounts

USADrop operates independently from any third-party websites or e-commerce platforms mentioned on our Website. Your use of USADrop and its services is at your own risk.

By accepting these Terms, you authorize USADrop to access and operate within your designated online e-commerce stores (“Shop Accounts”). This includes managing listings, prices, quantities, and other functions within these accounts. You can revoke USADrop ‘s access at any time.

You agree to assume liability for any actions taken on your Shop Accounts, whether by you or by USADrop . You also acknowledge that USADrop may operate on your Shop Accounts under specific modes, such as ‘Out of Stock’, allowing listings to remain active even with zero inventory.

You may integrate your Shop Accounts and User Account with third-party payment or financial solutions available through the Website. Your use of these integrated solutions is subject to these Terms and the terms of the third-party providers.

3. Use Risks and Liabilities

USADrop utilizes multiple third-party APIs, and data may not always be updated or accurate. By using USADrop , you acknowledge and accept this risk.

You agree that your use of USADrop and its services is at your own risk, and USADrop is not liable for any damages or losses incurred. This includes direct or indirect damages, loss of profits, or bodily injuries.

USADrop provides a platform for managing dropshipping needs and connecting Shop Accounts with third-party product providers. Any engagements with third parties are your sole responsibility, and USADrop is not liable for any resulting damages.

USADrop is not responsible for any interruptions or unavailability of the Website, whether due to maintenance, technical issues, or other reasons.

4. Account Registration

To use the Website, you must register and pay a monthly subscription fee as outlined on the Website.

Registration requires providing personal information for identification purposes. This may include your name, email, address, and other necessary details. You can also register using Facebook or Google accounts.

Minors under 18 years old must obtain parental or guardian approval to register. Parents or guardians are responsible for minors’ adherence to these Terms.

5. Using the Website

You are solely responsible for any activity conducted through your User Account.

You have a limited, personal right to use the Website and your User Account by these Terms. Unauthorized use constitutes a breach of these Terms.

USADrop reserves the right to remove or modify content on the Website without notice.

We may offer advertising packages and promotions, and you waive any claims regarding how content is displayed on the Website.

You must not engage in any activities that violate these Terms or disrupt the operation of the Website.

Violation of these Terms may result in termination of your User Account.

6. Your Store; Content

To access the services offered on our website, you’ll need to set up a Shop Account through one of our partnered platforms. These accounts must be linked to our platform to avail of our services. Any adjustments made to your User Account or Shop Accounts may temporarily or permanently affect our service availability.

The images and videos showcased on our website are for illustrative purposes only. Factors like browser type and screen quality may affect the quality, size, and colour accuracy, leading to variations between the actual products and their appearance on the site.

Products highlighted on the website are not sold or shipped by us but by third-party sellers. Purchasing these products is subject to our Terms of Service and the terms of the respective third-party sellers.

Your User Account allows you to contribute content to the website, such as images, text, and videos.

We don’t claim ownership of any content you provide (“User Content”). By posting User Content, you confirm that you have the necessary rights to do so and that the content is accurate, lawful, and doesn’t violate any third-party rights.

You grant us a license to use, modify, and display your User Content on our platform. As the website may be accessed by minors, you’re responsible for ensuring any content from your User Account is appropriate.

Please refrain from posting any content that is illegal, harmful, misleading, or infringes upon third-party rights.

We don’t prescreen third-party content, including User Content. We’re not responsible for the content of linked third-party websites.

We don’t endorse or guarantee the quality, accuracy, or completeness of third-party content. We’re not liable for transactions resulting from advertisements on our website.

If you believe any content on our website infringes your rights, please contact us for investigation, but we’re not obligated to remove it.

7. Product Pricing

Quotation will be send within 3 hours on working time,  when you receive the qoutation and send us your orders, that mean you already accept our price.

We may adjust product prices on our website/qoutation files without prior notice. Typographical errors will be corrected promptly.

Product prices may change due to fluctuations in wholesale pricing set by our suppliers/factories. We can’t control our suppliers’ pricing strategies or additional charges.

Certain products may have a Minimum Advertised Price (MAP) agreement. Please adhere to the MAP when advertising these products.

8. Orders

8.1 Liability for Your Orders

You are solely responsible for any inaccuracies in your order details. It’s your responsibility to ensure the accuracy of all information provided, including pricing and shipping details, before finalizing your order. Additionally, you are responsible for ensuring that accurate shipping information, including full name, apartment/unit/floor information, postal code, and phone number, is provided for end customers.

8.2 Order Changes or Cancellations

Generally, orders cannot be modified or cancelled after submission. However, in certain cases, you may request changes or cancellations by contacting our customer support team immediately after placing your order using the online form. Please note that cancellation requests must be submitted within 48 hours of placing the order. If your request is approved, a cancellation fee may apply as outlined in our website FAQ. We are not liable for any losses or damages resulting from changes to your orders.

8.3 Returns

We do not process returns for orders shipped from China warehouses. For more information on our returns policy and procedure, please refer to the Help Center’s Return, Refund, and Reship section on our website.

8.4 Shipping

Please be aware that we only ship orders to residential addresses. Orders with P.O. Box, APO, or FPO addresses will not be processed. Each supplier may have additional shipping restrictions, and we reserve the right to cancel orders to unsupported shipping addresses.

8.5 Shipping Fees and Handling Charges

Unless otherwise stated, all shipping and handling charges for products purchased from our platform are the responsibility of the user. Additionally, any costs incurred for refused or returned shipments not caused by the supplier, including import duties/customs charges, are also the user’s responsibility.

For unusually large or heavy products, custom shipping fees may apply. We will not ship these products until you approve the custom shipping fees. Shipping weights provided by suppliers are for informational purposes only and may not accurately reflect shipping costs. The final shipping fees will be displayed in the shopping cart.

We may offer re-shipping under certain circumstances, as outlined in our refund and reshipment policy below.

8.6 Refund and Reshipment Policy

We offer refunds or reshipments for lost parcels, damaged products, incorrect orders, missing orders, and late shipments.

Retailers can submit reshipment or refund requests within seven days of the order being marked as delivered (according to the tracking code). Requests can be made through the USADrop App in the user’s account.

Requests must be made within specific timelines and through the appropriate channels. Approved claims will be processed promptly.

We are not liable for shipping delays or delivery failures resulting from factors within the user’s control. Additionally, we are not responsible for shipment issues arising from force majeure events.

8.7 Tracking numbers
Tracking numbers will be provided within 1 working day afer your order. Please notice that the products will be shipped after that 2-4 days while we need to receive from factory and quality check.
8.9 Shipping time

Shipping time depending on which carrier you request. Normally it takes 8-18 days to US, 14-30 days to other destination.

9. Product Warranty

We don’t offer warranties for products sold on our website; contact the manufacturer or supplier for warranty claims.

10. Health Disclaimer

Any information concerning medical devices, health supplements, or similar products available on the platform, including information about health conditions and treatments, is provided for general informational purposes only. 11. Reseller Responsibilities

11.1 Compliance with Laws

It is your sole responsibility to ensure the legality of the products you intend to sell, taking into account the laws and regulations of your jurisdiction. While we strive to prevent suppliers from offering products that infringe upon intellectual property rights or constitute counterfeit goods, it is incumbent upon you to conduct thorough research before selling any products to ensure they do not violate third-party intellectual property rights. The Company disclaims any liability for any illegal actions of suppliers on the platform.

If you plan to sell products on third-party online auctions or marketplace platforms, you must familiarize yourself with the terms and conditions of those platforms to ensure compliance. The Company does not control third-party platforms and will not be a party to any agreements between you and such platforms.

11.2 Confidentiality

The Company develops proprietary techniques, trade secrets, and other confidential information (“Confidential Information”). As a Reseller, you may have access to such confidential information during this Agreement. You agree to keep all confidential information confidential and not disclose it to any third party without the express written consent of the Company. You will make every effort to limit access to such confidential information on a need-to-know basis. This confidentiality obligation continues even after the termination of this Agreement.

11.3 Prohibited Conduct

The Company provides access to Supplier information, including trade names, brands, product specifications, pricing, and availability. You are prohibited from attempting to establish direct contact with Suppliers. If you have requests for additional products, pricing, or services from a Supplier, please contact us through the support form on our website, and we will communicate with the Supplier on your behalf.

You are strictly prohibited from using the platform for any illegal activity. You agree to use the platform in compliance with local laws and the laws of the countries where your customers are based.

Violation of this provision may result in suspension or termination of your platform account without any refunds for the remaining subscription period
